The purchase and sale of a licensed premise is quite different from the usual purchase and sale of a business and requires specific considerations and additional applications to process. This session provides an overview of the steps NSW practitioners should take when acting for a client when they buy or sell a licensed premise. It covers:

  • What is required to transfer a liquor license as part of a sale of business and/or land;
  • What due diligence may be required and other pre-contractual obligations;
  • What to look for in a lease;
  • Advantages and disadvantages of heads of agreements in the area of liquor licensing;
  • What is meant by ‘fit for purpose’ and what should be included in contract (e.g. restraint clauses etc);
  • Common pitfalls experienced by purchasers and how to avoid them; and
  • Remedies
